2. Intellectual Property Rights and License
We own or license all intellectual property rights in the Services, including all:

- Databases
- Functionality
- Software
- Website designs
- Audio, video, text, photographs, and graphics ("Content")
- Trademarks, service marks, and logos ("Marks")
All Content and Marks are protected by applicable laws worldwide.
License Grant
Subject to your compliance with this Agreement, we grant you a non-exclusive, non-transferable, revocable license to:
- Access the Services
- Download or print Content to which you have lawful access
- Use such Content solely for your internal business purposes
Prohibited Uses
Except as expressly permitted, you may not:
- Copy, reproduce, republish, upload, transmit, distribute, sell, license, or exploit any Content or Marks

The exact scope of services is governed by a separate commercial agreement between you and the Company. In the event of any conflict, that separate agreement supersedes this Agreement.
4. Prohibited Activities
You may not use the Services for any purpose other than those we make available. Prohibited activities include, but are not limited to:
- Systematically retrieving data to create a database or directory without permission
- Attempting to deceive, defraud, or gain unauthorized access
- Circumventing security features
- Harming or disparaging the Company
- Harassing others
- Misusing support services
- Using the Services unlawfully
- Uploading viruses, malware, or harmful scripts
- Automated scraping, mining, or data extraction
- Impersonating another user
- Reverse-engineering the Services
- Unauthorized commercial use
- Advertising through the Services
- Redistributing our data in any form
5. User Conditions
Commercial Users agree to provide all information reasonably necessary for us to deliver the Services, including:

Failure to provide such access may prevent us from delivering contracted services and does not entitle you to a refund.
6. System Interruptions
We use third-party hosting and infrastructure providers. While we work to minimize downtime, we cannot guarantee uninterrupted availability due to:

- Force majeure events
We strive to keep downtime limited and immaterial.

We disclaim all warranties, express or implied, including:

12. Applicable Law
This Agreement is governed by the laws of the State of New York, USA. All notices must be in writing. The offer and acceptance of this Agreement are deemed to occur in New York.
13. Arbitration
Disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

14. Class Action Waiver

15. Severability; No Third-Party Beneficiaries
If any provision is held invalid or unenforceable, the remainder of the Agreement remains in effect. This Agreement grants no rights to third parties.
16. Non-Waiver
Failure to enforce any provision does not constitute a waiver of future enforcement rights.
17. Assignment and Survival
You may not assign this Agreement without our written consent. Sections that reasonably should survive termination do survive, including:

18. Termination
We require 30 days written notice for termination of recurring contracts.
We may terminate this Agreement if:
- You violate applicable laws
- You violate this Agreement
- We believe your actions may harm our business or reputation
Upon termination, access to certain Services may be disabled immediately.
19. Entire Agreement
This Agreement constitute the full and exclusive understanding between the parties. Amendments must be in writing and signed by both parties.
20. Amendments
We may amend this Agreement at any time. Updated versions will be posted on our Website. If you do not agree with amendments, you must stop using the Services.
21. Relationship of the Parties
The parties are independent contractors. Nothing in this Agreement creates:
- A partnership
- A joint venture
- An agency relationship

- error monitoring and logging services.
These service providers process personal information on our behalf under written agreements and are prohibited from using it for their own purposes.

We are not responsible for their content, policies, or practices, and we cannot guarantee the security or privacy of information you provide to third parties. We retain personal information only as long as necessary for the purposes described in this Agreement or as required by law. When no longer needed, information is deleted, anonymized, or securely stored until deletion is possible.
9. How do we keep your information safe?
We use reasonable and appropriate technical and organizational measures to protect your data. However, no system is entirely secure, and we cannot guarantee absolute protection. You are responsible for accessing the Services through secure networks.
10. Do we collect information from minors?
We do not knowingly collect or market to individuals under 18. If we learn that we have collected such information, we will delete it promptly. Please contact us if you become aware of any such data.
11. What are your privacy rights?
Depending on your region, you may have rights to access, correct, delete, restrict, or object to the processing of your personal information, and to request data portability. You may also withdraw consent at any time.
You may unsubscribe from marketing at any time. We may still send essential service communications.
Account changes: You can update or delete your account by logging in or contacting us.
12. Controls for Do-Not-Track features
There is currently no accepted standard for responding to DNT signals, so we do not respond to them. If this changes, we will update this Agreement.

In the past twelve (12) months, we have collected the following categories of personal information:
- Identifiers – Such as real name, alias, postal address, telephone number, mobile number, unique personal identifier, online identifier, IP address, email address, and account name.
- Personal information under the California Customer Records statute – Including name, contact information, education, employment history, and financial information.
We may also collect additional personal information outside these categories when you interact with us in person, online, or by phone or mail. Examples include:
- requesting help through customer support,
- participating in surveys or contests, or
- interacting with us while we provide or facilitate our Services.
We retain personal information as needed to provide the Services or for as long as you maintain an account with us.

Request Verification
We must verify your identity before processing your request. We will use the personal information you provide only for verification purposes. If we cannot verify you based on existing data, we may ask for additional information to confirm your identity or prevent fraud.
If an authorized agent submits a request, we may require proof of both the agent's identity and written authorization from you.
Appeals

Financial Incentives
A "financial incentive" includes any program, benefit, or offering—such as a discount or payment—provided in exchange for the disclosure, retention, sale, or sharing of personal information.
Laws permitting financial incentives require that they be reasonably related to the value of the consumer's data. Any such program must include:
- a good-faith estimate of the value of the consumer's data; and

We may choose to offer a "bona fide loyalty program" (Colorado) or a financial incentive (California) such as a price or service difference. If we offer such a program, we will provide written notice describing:

Under California law, the value of your data is tied to the value of the free or discounted products or services provided, minus the cost of offering those benefits.

California "Shine the Light" Law
California Civil Code Section 1798.83 allows California residents to request, once per year and free of charge, information about categories of personal information (if any) disclosed to third parties for direct marketing purposes, and the names and addresses of those third parties.
